Deal Overview
On June 27, 2021, Singapore’s sovereign wealth fund GIC Pte Ltd announced that its indirect arm, Greenwood Capital Pte Ltd, had agreed to acquire a 16 percent stake in Sunway Healthcare Holdings Pte Ltd (SHH) for RM750 million. The share purchase agreement was signed with Sunway Co., Ltd., purchasing shares from Sunway City Sdn Bhd, a subsidiary of the Sunway Group. The transaction values Sunway Healthcare at roughly RM4.68 billion. Greenwood Capital will subscribe to 100 million ordinary shares in Sunway Healthcare, representing 8.24 percent of the company’s equity.
In addition, it will receive 10 million non‑repayable convertible preferred shares (ICPS). Those preferred shares are convertible into 94.22 million Sunway Healthcare shares, which corresponds to another 7.76 percent stake.
Upon full conversion, the combined holding gives Greenwood Capital a 16 percent interest in Sunway Healthcare.
Payment Structure and Use of Proceeds
Sunway Healthcare said the RM750 million subscription amount will be paid in five installments. The company cited the stable cash‑flow generation of its Sunway Medical operations as the basis for supporting this phased payment schedule. The proceeds are earmarked for expanding existing facilities and building new ones. Specifically, the funds will go toward enlarging Sunway Medical Center in Selangor and Sunway Medical Center in Kuala Lumpur.
They will also finance the construction of six new medical centres across Malaysia: Sunway Braun Jaya Medical Center in Penang, Sunway Damansara Medical Center in Selangor, Sunway Ipoh Medical Center in Perak, Sunway Kotabah Lu Medical Center in Kelantan, Sunway Iskandar Medical Center in Johor, and Sunway Rehabilitation Hospital Paya Terubong in Penang. In addition to capital works, the investment will cover working‑capital requirements such as daily management and operating expenses for the Sunway Healthcare Group.
Sunway noted that the injection will allow the group to accelerate its expansion plans while prudently managing its financial‑risk profile.
Strategic Rationale and Comments
Sunway quoted its own statement: “Greenwood’s investment will enable Sunway Healthcare Group to accelerate its expansion plans by prudently managing the financial risk profile of Sunway Healthcare Group and Sunway Group.” The company also said the deal provides external verification from experienced healthcare investors for its expansion plans. The investment aligns with Sunway Group’s broader strategy to increase healthcare capacity. Sunway is already expanding its flagship medical centre in Sunway City, Selangor, and the Sunway Velocity Medical Center in Kuala Lumpur, with plans to build six additional hospitals in Malaysia over the next few years.
Beyond hospitals, Sunway Healthcare intends to diversify into home care, nursing homes, telemedicine centres, and traditional and complementary medical centres. The funds will support these initiatives and reduce reliance on debt financing.
Sunway highlighted the partnership with Greenwood, noting: “As a business partner, Greenwood will work with Sunway to enhance the operation of the proposed Sunway Healthcare Group and strengthen Sunway’s position in the private healthcare sector in Malaysia.” Greenwood Capital is a subsidiary of GIC Private Limited, Singapore’s sovereign wealth fund that manages over $100 billion in assets and has been increasing its healthcare investments across Asia.
Market Impact
Described as a significant vote of confidence in Malaysia’s private healthcare sector from a major global institutional investor, the deal positions Sunway Healthcare to expand its footprint while maintaining financial discipline, backed by a patient, long‑term capital partner.
