EQT acquires Range Resources in $50bn deal to form dominant Appalachian gas giant

EQT agrees to acquire Range Resources in a $50bn all-stock transaction. The merger creates the largest vertically integrated natural gas producer in the United States, combining nearly 3 million acres and over 9 billion cubic feet of daily production.

Deal Structure and Valuation

Under the agreement, each Range common share would be exchanged for 0.987 EQT common shares. EQT shareholders are expected to hold about 73% of the combined group, while Range investors would own the remaining 27%. The boards of both companies unanimously approved the agreement, with completion anticipated in the first quarter of 2027, subject to regulatory approvals and shareholder votes. The implied offer price is about 20.6% above Range Resources’ last closing price on Friday, valuing the deal at more than $50bn.

Production and Asset Base

The combined business would have net production of more than nine billion cubic feet equivalent per day (bcfe/d). It would also include nearly 3 million net acres and more than 30 years of inventory, plus over 3,700 miles of midstream infrastructure. EQT said the transaction would reduce its unlevered free cash flow breakeven to below $2 per million British thermal units (mmbtu). The company forecasts base annual synergies of $325m within two years and longer-term synergies exceeding $600m.

Strategic Positioning

Upon closing, two representatives from Range, including CEO Dennis Degner, will join EQT’s board of directors. Headquarters for the combined company will remain in Canonsburg, Pennsylvania. EQT president and CEO Toby Rice said the transaction creates a company uniquely positioned for the next era of natural gas, supported by multiple decades of high-quality inventory. The combined group was expected to have BBB-quality credit metrics when the transaction closes.

Market Context

Growing demand for natural gas from data centres has improved the outlook for US natural gas, prompting producers to pursue bigger outputs. The U.S. Energy Information Administration forecasts that the country’s gas production will increase from 107.6 billion cubic feet per day in 2025 to 111.7 billion in 2026 and 115.9 billion in 2027. Liquefied natural gas exports, according to this forecast, will reach a record 17.4 billion cubic feet per day in 2026.

Board Composition and Governance

Following the completion of the transaction, two representatives from Range Resources will join EQT’s board of directors. According to company filings, Range CEO Dennis Degner will be among the new appointees, ensuring Range stakeholder representation in the governance of the combined entity. The existing EQT board and management structure will be expanded to accommodate this change, with the goal of integrating the two corporate cultures while maintaining operational efficiency. This governance adjustment is part of the broader strategy to align the combined company’s strategic direction under a unified leadership framework.

Headquarters for the merged organization will remain in Canonsburg, Pennsylvania, reflecting the geographic concentration of the combined asset base. EQT president and CEO Toby Rice will continue to lead the company, overseeing the integration of Range Resources’ operations. The board composition change is designed to provide balanced oversight as the company scales to nearly 3 million net acres and over 9 billion cubic feet equivalent per day of production, ensuring that the combined group can effectively manage its expanded resource portfolio and midstream infrastructure.
